1. Acceptance of Terms

By accessing or using any services provided by Infrarix Inc. ("Infrarix," "we," "us"), including our APIs, dashboards, SDKs, and websites (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Services.

2. Eligibility

You must be at least 16 years old and have the legal capacity to enter into a binding agreement. If you use the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

3. Account Registration

You must provide accurate and complete registration information.
You are responsible for maintaining the security of your account credentials.
You must notify us immediately of any unauthorized access to your account.
We reserve the right to suspend accounts that violate these Terms.

4. Acceptable Use

You agree not to use the Services to:

Violate any applicable laws or regulations
Infringe on intellectual property rights of others
Transmit malware, viruses, or other harmful code
Attempt to gain unauthorized access to our systems or other users' accounts
Interfere with or disrupt the integrity or performance of the Services
Use the Services for any unlawful, fraudulent, or abusive purpose
Reverse engineer, decompile, or disassemble any part of the Services

5. API Usage & Rate Limits

API usage is subject to rate limits and quotas as defined by your subscription plan. Exceeding these limits may result in throttling or temporary suspension of access. We reserve the right to modify rate limits with reasonable notice.

6. Intellectual Property

The Services, including all software, documentation, and content, are owned by Infrarix and protected by intellectual property laws. Your use of the Services does not grant you any ownership rights. You retain ownership of any data and content you submit through the Services.

7. Data Processing

When you use our API services, we process request data solely to provide the requested functionality. We do not use your API request content to train models or for any purpose other than delivering the service. See our Privacy Policy for full details on data handling.

8. Service Availability & SLAs

We strive to maintain 99.99% uptime for all production services. Specific service level agreements (SLAs) may be included in Enterprise plans. Scheduled maintenance will be communicated at least 48 hours in advance when possible.

9. Payment Terms

Paid plans are billed in advance on a monthly or annual basis.
All fees are non-refundable except as required by law or stated in your plan terms.
We may change pricing with 30 days' notice. Existing subscriptions are honored until renewal.
Failure to pay may result in suspension or termination of access.

10. Termination

Either party may terminate the agreement at any time. Upon termination, your right to use the Services ceases immediately. We will make your data available for export for 30 days after termination. We may terminate or suspend access immediately for violations of these Terms.

11. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, INFRARIX SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNTS PAID BY YOU IN THE TWELVE MONTHS PRECEDING THE CLAIM.

13. Indemnification

You agree to indemnify and hold Infrarix harmless from any claims, damages, or expenses arising from your use of the Services or violation of these Terms.

14. Governing Law

These Terms are governed by the laws of India, without regard to conflict of law principles. Any disputes shall be resolved in the courts located in India.

15. Changes to Terms

We may modify these Terms at any time. Material changes will be communicated via email or a prominent notice on our website at least 30 days before taking effect. Continued use after changes constitutes acceptance.
